Refund & Milestone Payment Policy
Effective Date: October 29, 2026 • Governed under the Indian Contract Act, 1872
At Insalink Digital Solutions (“Insalink”, “Company”, “we”, “us”), custom software engineering, architectural blueprints, cloud server provisioning, and UI design require dedicated computational, engineering, and payroll resources from day one. This policy defines our standard 40-40-20 installment architecture, review release timelines, staging environment suspension rules, and statutory rights under Indian Law.
Standard Software Milestone Architecture (40% • 40% • 20%)
Paid prior to project kickoff. Secures dedicated engineering team allocation, cloud environment provisioning, architecture scaffolding, and mutual Non-Disclosure Agreement (NDA) onboarding.
Triggered upon completion and live staging deployment of Part 1 / MVP / core database schemas and API integrations. Client reviews the build and releases funds within the 5-day inspection window.
Due upon final testing and verification of all agreed deliverables. Insalink provides full source code ownership, repository admin transfer, API credentials, and officially concludes/resigns from the project.
01.Bespoke Software Engineering & Cost Realization
Insalink specializes in custom software engineering, cloud computing architectures, modern web systems, and mobile applications. Unlike off-the-shelf retail products or boxed software, custom digital systems require substantial upfront capital allocation, dedicated developer work hours, code repository management, and continuous server compute costs.
Because these labor, design, and computational expenses are expended in real-time as engineering proceeds, milestone payments represent irreversible performance compensation and are non-refundable once work on that phase has commenced.
02.Non-Disclosure Agreement (NDA) & 40% Advance Deposit
Prior to kickoff, Insalink and the Client execute a mutual Non-Disclosure Agreement (NDA) and an authorized Scope of Work (SOW). Payment of the initial 40% Advance Deposit is mandatory to reserve engineering bandwidth and inaugurate the development sprints.
Advance Deposit Non-Refundability:
Once the NDA is signed and our developers begin architectural planning, repository initialization, wireframing, or sprint execution, the 40% advance is completely non-refundable.
If cancellation is requested in writing within 24 hours of invoice payment and strictly before any code commits, repository creation, or sprint meetings have taken place, a refund may be granted minus a 10% banking, gateway, and administrative deduction.
03.5-Day Review Window & Staging Instance Suspension
When Phase 1 (MVP / Part 1 of the agreed architecture) is completed, our team deploys the build to a staging environment and provides live demonstration access for verification.
The Client is granted 5 calendar days from the delivery of the staging update to review the milestone and release the scheduled 40% Phase 2 milestone payment.
- Environment Teardown: If payment is not released within 5 calendar days, all live demo instances, staging servers, preview containers, and backend databases will be shut down and temporarily taken offline.
- Sprint Suspension: Active development on subsequent features is halted immediately until all milestone dues are settled.
04.Administrative Reactivation Fee (₹1,000)
Unscheduled halts and server teardowns create operational delays, cloud container provisioning overhead, and sprint reallocations.
Resumption of Suspended Projects:
If work and testing environments are suspended due to client non-release beyond the 5-day window, a flat administrative fine of ₹1,000 (One Thousand Indian Rupees) will be levied to reactivate cloud staging servers, rebuild Docker containers, and reassign engineering resources.
Services and staging previews will only resume once the outstanding milestone invoice plus the ₹1,000 reactivation fee are settled in full.
05.Final 20% Release & Project Resignation / Handover
The final 20% balance (bringing the project remuneration to 100%) becomes payable when all deliverables defined in the initial Scope of Work are compiled, quality-tested, and ready for production deployment.
Upon confirmed receipt of the final 20% payment, Insalink will:
- Transfer full Git repository administrative ownership and intellectual property rights.
- Provide all production API keys, master credentials, database passwords, and deployment scripts.
- Formally resign and exit from the day-to-day development lifecycle, delivering complete handover documentation.
Insalink retains an intellectual property lien on all source code until the 100% total remuneration has been cleared.
06.Statutory Legal Acts & Applicable Sections (Indian Law)
This milestone agreement, non-refundable deposit provision, staging suspension protocol, and intellectual property retention are formulated under the following statutory codes of the Republic of India:
Section 39 & 73: Anticipatory breach and right to compensation for loss or expenses caused by failure to discharge contractual milestone payments.
Section 74: Liquidated damages and reasonable administrative charges for breach or reactivation of suspended services.
Section 17 & 19: Assignment and transfer of copyrighted source code conditioned strictly upon receipt of full contractual consideration.
Section 43A & 72A: Protection of electronic records, access control for cloud staging environments, and confidential technical data.
07.Dispute Resolution & Governing Jurisdiction
Any dispute, controversy, or claim arising out of milestone releases, deliverable reviews, or refund inquiries shall first be handled through good-faith executive discussion within 15 business days. If unresolved, disputes shall be submitted to the exclusive jurisdiction of the competent courts in West Bengal, India, governed under the laws of the Republic of India.
